Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Neurobud AI application and website (the “Service”), provided by Neurobud AI LLC (“Neurobud AI,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

To create an independent account, you must be at least 13 years old. Users under 13 may use the Service only through a limited guest mode or through an account created and managed by a parent or legal guardian. If you are between 13 and the age of majority in your jurisdiction, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorized use of your account. You may delete your account at any time from within the app (Settings → Delete Account).

3. The Service and AI Tutoring

Neurobud AI provides AI-generated tutoring, lessons, and learning tools. The AI tutor is powered by third-party AI models and generates responses automatically.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose.
• Attempt to bypass, disable, or interfere with safety features, usage limits, or security measures.
• Submit content that is illegal, harassing, hateful, sexually explicit, or that exploits or harms minors.
• Reverse engineer, scrape, or attempt to extract source code or underlying models, except as permitted by law.
• Resell, sublicense, or commercially exploit the Service without our written permission.
• Use the Service to develop a competing product or to train competing AI models.

We may suspend or terminate accounts that violate these Terms.

5. Subscriptions, Purchases, and Billing

The Service offers auto-renewing subscriptions and one-time interaction purchases. All purchases are processed by the Apple App Store or Google Play, and are subject to their terms and payment policies.

• Auto-renewal: Subscriptions automatically renew at the price and interval shown at the time of purchase unless auto-renewal is turned off at least 24 hours before the end of the current period.
• Billing: Your account is charged for renewal within 24 hours before the end of the current period.
• Managing and canceling: You can manage or cancel your subscription in your Apple App Store or Google Play account settings after purchase. Deleting the app does not cancel a subscription.
• Refunds: Refunds are handled by Apple or Google according to their policies. We do not separately process App Store or Google Play refunds.
• Price changes: We may change subscription prices. Changes apply to future billing periods and, where required, we will provide notice and obtain consent.

6. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by Neurobud AI or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial educational use.

You retain ownership of the content you submit. You grant us a license to use, host, and process that content as needed to operate and improve the Service, as described in our Privacy Policy.

7. Third-Party Services

The Service relies on third-party providers, including Amazon Web Services, Google (Gemini AI and Firebase), and RevenueCat. Your use of the Service may also be subject to the terms of the Apple App Store or Google Play. We are not responsible for third-party services outside our control.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROBUD AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50.

10. Indemnification

You agree to indemnify and hold harmless Neurobud AI and its affiliates from any claims, damages, or expenses arising out of your violation of these Terms or your misuse of the Service.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and provisions that by their nature should survive (such as disclaimers, limitations of liability, and governing law) will remain in effect.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction, except where applicable law grants you the right to bring proceedings in your local courts.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide notice within the app. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
